Re: $800,000 Non-Refundable Royalty Pre-Payments

Green Gas Energy, LLC (“GGE”) specializes in processing landfill gas into high Btu (> 970 Btu) pipeline quality natural gas.

GGE has a standardized, patent-pending designed processing plant which produces 2.357 Million Standard Cubic Feet Per Day (“MM SCFD”) of product gas (assuming a landfill gas flow of 5MM SCFD).

GGE’s standardized skid-mounted plant can be operational on a landfill anywhere in the U.S. within thirty (30) weeks from the commencement of the project.

GGE is the only company that is operating membrane-based technology landfill gas processing plants and delivering its product gas into interstate pipelines, see GGE’s web site at www.greengasenergy.com.

To separate GGE from the “pack” of developers now seeking landfill gas rights, GGE has initiated its “Gas Rights Protection Policy” by which GGE will pay EIGHT HUNDRED THOUSAND DOLLARS ($800,000.00) in non-refundable pre-payments of royalties to guarantee GGE’s 30 week operational schedule, with the first non-refundable payment of $400,000.00 on signing of the gas rights and the second non-refundable payment of $400,000.00 within 7 months, see the below GGE “Gas Rights Protection Policy” along with the below “Proven Track Record” summarizing GGE’s experience.

Royalties from GGE to the Gas RIghts owners will exceed ONE MILLION DOLLARS ($1,000,000.00) per year.

GGE will also undertake, at no charge to the landfill owner, the environmental air emissions regulatory compliance operations because GGE’s requirements for the landfill gas collection system far exceed environmental compliance regulations.

GGE’S GAS RIGHTS PROTECTION POLICY

Green Gas Energy, LLC (“GGE”) has re-designed, started and successfully operated for over a year the only two membrane-based landfill gas processing plants in the United States which are processing landfill gas being delivered into a natural gas pipeline. GGE has developed an improved, patent-pending, standardized processing plant design which will process landfill gas into high Btu (> 970 Btu), pipeline quality gas at the rate of 2.357MM SCFD of product gas (assuming a landfill gas flow of 5MM SCFD).

GGE can build its standardized processing plant on a landfill anywhere in the United States and do so within thirty (30) weeks of commencement of the project, subject only to reasonable force majeure. No one anywhere can match GGE’s 30 week schedule.

GGE wishes to separate itself from the “pack” of developers now seeking landfill gas rights. To do so, GGE is “putting its money where its mouth is”, as follows:

GGE, for its first plant on a suitable landfill, will provide to the gas rights owner two (2) non-refundable pre-payments of gas royalties each in the amount of FOUR HUNDRED THOUSAND DOLLARS ($400,000.00), with the first $400,000.00 non-refundable payment made at the time of the gas rights sale and the second $400,000.00 non-refundable payment within seven (7) months thereafter.

As a result of GGE’s “Gas Rights Protection Policy”, if GGE fails to deliver its  plant operating within the aforesaid 30 week schedule, then the gas rights will revert to the original gas rights owner who will keep GGE’s EIGHT HUNDRED THOUSAND DOLLARS ($800,000.00) for having its gas rights tied up on one landfill for the aforesaid 30 week schedule.

Proven Track Record

Green Gas Energy (“GGE”) has a project team (comprised of over 20 people who are experienced engineers, scientists, environmentalists and attorneys). GGE, through its affiliates (A.R.C. Technologies and Industrial Operations), is the only group that has successfully started and now operates two landfill gas (membrane type) processing plants that produce pipeline quality natural gas for use throughout the United States.  Both plants, located in western Pennsylvania, have a design product flow of 2.5 MMSCFD into the utility pipelines.

From our experience, GGE has developed a paten-pending gas processing system that includes the following:
